We refer to our announcements on 20 March 2025, 24 March 2025, 25 March 2025 and 18 March 2026.
We wish to announce a material development in relation to the legal action commenced by Cahya Mata Sarawak Berhad ("Cahya Mata") and Cahya Mata Intelligent Technologies Sdn Bhd ("CMIT") ("the Action") against the following 1st to 6th Defendants:
(a) Dato Sri Mahmud Abu Bekir Taib ("DSM"), a Director of Cahya Mata;
(b) Karl Vink @ Khalid Abdullah ("KV"), the former Chief Information Officer and Former Executive Director of CMIT;
(c) Atul Dua ("AD"), the Managing Director of the 5th Defendant, Vienna Advantage GmbH;
(d) Izzul Bin Abdul Kamar ("Izzul"), the former Senior General Manager of CMIT;
(e) Vienna Advantage GmbH ("VAG"); and
(f) Vienna Advantage Asia Sdn Bhd ("VAA").
Cahya Mata had, after the close of business on 17 April 2026, received a copy of the 3rd, 5th and 6th Defendants' Statement of Defence and Counterclaim dated 17 April 2026.
By their Counterclaim, the 3rd, 5th and 6th Defendants' Counterclaim seek, among others, the following relief against Cahya Mata and CMIT:
(a) A declaration that Cahya Mata and CMIT have combined and/or conspired with the intent to injure VAG;
(b) A declaration that Cahya Mata and CMIT are jointly and severally liable for sums purportedly due and payable to VAG in respect of its ERP System;
(c) A declaration that, by instituting and maintaining the Action, Cahya Mata and CMIT have breached the terms of the Settlement Agreement dated 24.12.2021 ("the Settlement Agreement");
(d) A declaration that, by instituting and maintaining the Action, Cahya Mata and CMIT have committed the tort of abuse of process;
(e) An order for specific performance of the Settlement Agreement requiring Cahya Mata and CMIT to immediately withdraw and discontinue the Action;
(f) An injunction restraining Cahya Mata and CMIT from commencing any further action against AD, VAG and VAA;
(g) General damages;
(h) Aggravated and/or exemplary damages;
(i) Costs; and
(j) Interests.
Cahya Mata and CMIT have instructed its solicitors to vigorously resist the counterclaim and file the appropriate defences.
Any further material developments will be announced to Bursa Securities accordingly.
