Reference is made to the Company's announcement made on 13 June 2025 in relation to the Circular to Shareholders in relation to the Proposed Joint Venture between SC Estate Construction Sdn. Bhd, ("SCECSB") and Anjung Meriah Sdn. Bhd. to develop the Large-Scale Solar ("LSS") Photovoltaic Plant of 4.00 Megawatts in Arau, Perlis ("Joint Venture") and the Company obtained the approval of its shareholders for Joint Venture at the Extraordinary General Meeting held on 30 June 2025. ("Announcements"). Unless otherwise stated, the definitions used herein shall have the same meanings referred to in the Announcements.

The Board of Directors of SCBUILD/0109 wishes to announce that SCBUILD/0109 and its wholly-owned subsidiary, SCECSB have provided a corporate guarantee to its special purpose vehicle, AMSC Solar Sdn. Bhd. ("AMSC Solar"). AMSC Solar was incorporated for the purpose to undertake the development of the LSS Plant Project.

AMSC Solar secured the National Energy Transition Facility for a maximum principal sum of RM16,200,000.00, offered by Malaysia Debt Ventures Berhad ("the Facility"). The Facility will be used for the financing of the Joint Venture Project. The corporate guarantee, provided by SCBUILD/0109, SCECSB, and the Joint Venture partner Anjung Meriah Sdn. Bhd., serves as one of the security documents for the financing under the Facility. As stated in Section 2.1 of the Circular, the entire funding for the LSS Plant Project will be fully borne by SCECSB. The provision of corporate guarantee by SCBUILD/0109 and SCECSB forms part of the abovesaid funding obligations by SCECSB for the LSS Plant Project.
