1.0  INTRODUCTION

The Board of Directors of the Company wishes to announce that the Company has on 22 December 2021 incorporated two (2) wholly-owned subsidiaries, namely Aldrich Minerals Sdn Bhd and Aldpro Corporate Services Sdn Bhd under the Companies Act 2016 (“the Incorporation”). 

2.0  INFORMATION ON THE INCORPORATION

The issued share capital and intended principal activities of each wholly-owned subsidiary are as follows:

i.     Aldrich Minerals Sdn Bhd

• Issued Share Capital: RM100.00 comprising 100 ordinary shares
• Principal Activity: Mining, processing and trading of mineral resources and related activities

ii.    Aldpro Corporate Services Sdn Bhd

• Issued Share Capital: RM100.00 comprising 100 ordinary shares
• Principal Activities: Provision of share registration, scrutineer and poll administration services

3.0  FINANCIAL EFFECTS OF THE INCORPORATION   

The Incorporation is not expected to have any material effect on the earnings per share, net assets per share, gearing and substantial shareholders’ shareholdings of the Company for the financial period ending 31 December 2021. 

4.0  INTEREST OF DIRECTORS AND/OR MAJOR SHAREHOLDERS AND/OR PERSONS CONNECTED TO THEM

None of the directors and/or major shareholders of the Company and/or persons connected with them have any interest, whether direct or indirect, in the Incorporation.

5.0  STATEMENT BY THE BOARD OF DIRECTORS

The Board of Directors of the Company is of the opinion that the Incorporation is in the best interest of the Company.
