We refer to the announcement dated 7 June 2022 in respect of the Proposed Transactions ("Announcement"). Unless otherwise defined, abbreviations used throughout this announcement are the same as those previously defined in the Announcement.

1. HOSPITAL HOLDCO

IHH wishes to announce that Hospital HoldCo, IMU Omega Sdn. Bhd., a wholly-owned subsidiary of IMUH,  has been incorporated in Malaysia on 9 June 2022 as a private limited company under the Act, with the initial issued share capital of RM2 comprising 2 ordinary shares.

The directors of Hospital HoldCo are:

1. Tan Sri Dato’ Dr. Abu Bakar bin Suleiman;
2. Prof. Abdul Aziz bin Baba; and
3. Jean-Francois Fernand H. Naa.

None of the directors of Hospital HoldCo hold any shares in Hospital HoldCo.

Hospital HoldCo was incorporated specifically to facilitate the Proposed Facility Disposal. There is no financial information of Hospital HoldCo available as of the date of this announcement.

2. PROPOSED RESTRUCTURING

To facilitate the Proposed Restructuring, IMU Education and Hospital HoldCo had entered into the Facility APA on 27 June 2022. Please refer to Appendix II of the Announcement for salient terms of the Facility APA.

As highlighted in Section 8.3 of the Announcement, IMU Education will submit the application to the Land Executive Committee of Federal Territory for the FTLWC Approval shortly after signing of the Facility APA.

3. DOCUMENT AVAILABLE FOR INSPECTION

The Facility APA will be made available for inspection at IHH’s registered office at Level 11 Block A, Pantai Hospital Kuala Lumpur, 8 Jalan Bukit Pantai, 59100 Kuala Lumpur during normal business hours from Mondays to Fridays (except public holidays) for a period of three months from the date of this announcement.
