We refer to the announcements dated 7 June 2022, 27 June 2022, 21 July 2022 and 27 July 2022 in respect of the Proposed Transactions ("Announcements"). Unless otherwise defined, abbreviations used throughout this announcement are the same as those previously defined in the Announcements.
In connection with the Proposed Disposal of IMU, IHH wishes to announce that IMUH has on 5 August 2022 submitted the application to the MOHE to obtain the written approval of MOHE for the entering into of an arrangement or agreement to sell or otherwise take action materially affecting the respective businesses of IMU Education and IMC Education relating to education for the change in (a) the equity participation of IMU Education and IMC Education and (b) the respective board of directors of IMU Education and IMC Education ("MOHE Approval").
As highlighted in Appendix I of the announcement dated 7 June 2022, the completion of the IMU SSA is conditional upon, amongst others, receipt of the MOHE Approval.
