Bermaz Auto Berhad (“BAuto” or “Company”) wishes to announce that it has on 1 July 2025 placed its 55% owned subsidiary, Bermaz Auto Alliance Sdn Bhd (“BAASB”), under members’ voluntary winding-up pursuant to Section 439(1)(b) of the Companies Act 2016 (“Members’ Voluntary Winding-up”).
BAASB was incorporated on 16 November 2020 and currently has an issued share capital of RM12.0 million comprising 12.0 million ordinary shares. BAuto’s total cost of investment in BAASB was RM6,978,000.
BAASB had ceased its business operation in March 2024 and had been dormant since. Prior to its cessation of business, BAASB was involved in the distribution, retailing and provision of after-sales services and sale of spare parts for the PEUGEOT marque vehicles in Malaysia.
The Members’ Voluntary Winding Up exercise is to dissolve BAASB which is dormant and to save costs associated with maintaining it as there are no plans to re-activate the company in the future.
Pursuant to the Members’ Voluntary Winding-up, Mr Bernard Tan Cheak Hean and Mr Koh Yang Wei, care of BDO Consulting Sdn Bhd, Level 8, BDO @ Menara CenTARa, 360 Jalan Tuanku Abdul Rahman, 50100 Kuala Lumpur, have been appointed as the joint and several liquidators of BAASB.
The Members’ Voluntary Winding-up is not expected to have any material effect on the net equity funds and earnings of the BAuto Group for the financial year ending 30 April 2026.
None of the Directors and major shareholders of BAuto and/or persons connected with them has any interest, direct or indirect, in the Members’ Voluntary Winding-up.
