SCIB announces CEO's resignation and several new appointments

KUALA LUMPUR: Sarawak Consolidated Industries Bhd (SCIB) has announced the resignation of its managing director and chief executive officer Roslan Othman.

SCIB, in a late statement today, also appointed Abang Abdillah Izzarim Abang Abdul Rahman Zohari as executive chairman and Marcus Chin Choon Wei as executive director with immediate effect.

Abang Abdillah is chairman of PP Telecom and director of Cempaka Helicopter Corporation Sdn Bhd while Chin is the chief financial officer of Artroniq Bhd as well as the executive director at APB Resources Bhd.

The company also appointed Kang Wei Luen, Dr Dang Nguk Ling and Liaw Way Gian as independent non-executive directors.

Speaking earlier at its esxtraordinary general meeting (EGM) today, Rosland was questioned by shareholders on Serba Dinamik Holdings Bhd group managing director Datuk Dr Mohd Abdul Karim Abdulah's role in the company.

He made the puzzling revelation that Karim is no longer a shareholder in the company.

Checks by New Straits Times revealed no public announcements made on any changes in Karim's shareholding.

Public records show that Karim owns a 23.996 per cent interest in SCIB as of Dec 8 2022.

Rosland, however, told the NST that Karim is no longer associated with SCIB.

According to listing requirements, shareholders must declare their ownership, and Roslan stated that Karim's name was not listed among the shareholders.

"As the management, I would not be able to confirm. It is for Datuk Karim to declare himself whether he has shares with us or not. That's why SCIB follows the record of depositors (ROD).

"When we printed out the name of the shareholders, his name was not there. People speculate. I told them you can speculate all you want but for me, I only look at data, and the data says that he's not there. But you know nowadays people use proxy but I don't know, I can't confirm for sure. There's an area that's a bit gray," he told the NST.

Bursa Malaysia compounded Serba Dinamik, Karim and three others RM3 million each for falsifying the accounting records of the company's subsidiary in 2022. It is currently classified as a Practice Note 17 company.

Meanwhile, on the EGM held to remove three directors and appoint another four, shareholders approved all but one director appointment.

A majority of shareholders voted against Dr. Pakharuddin Samin's appointment as a director in the company.

A total of 82 per cent voted against his appointment, while only 17 per cent voted in favour.
